Job overview
We are looking for a talented, proactive and ambitious person to join our Corporate Affairs team as a Corporate Governance Manager. This is a role that is required to ensure that our most senior decision-making meetings – our Boards, Board Committees, Executive Leadership Team and Council of Governors – operate to a high-standard, fulfil their statutory and regulatory duties and deliver on the Board’s ambitions for improved and streamlined processes.
We are looking for a driven and experienced individual who can deliver and make an impact straight away. The role would suit an individual keen to build a career in corporate governance.
The role offers flexibility, and the current requirement is for attendance to the office for a minimum of two days a week. This is subject to the demands of the role and could mean attendance on more days if the business need requires it.
Main duties of the job
Supporting the delivery of the Council of Governors’, Board’s and Board Committees’ statutory responsibilities and strategic ambitions.
Commissioning Board papers in line with the agreed agenda.
Providing administrative and tactical support to the Council of Governors.
Where the Non-Executive Directors must attend meetings as part of the Board, arranging and managing those meetings.
Developing and maintaining the Corporate Governance department’s information systems.
Organising and attending service visits for NEDs and Governors.
Maintaining oversight of non-clinical policies, proactively managing reviews and updates.
Playing a role in developing, implementing and reviewing corporate governance policies and procedures.
Management of the Trustwide declarations of interest procedures, reporting on compliance and ensuring transparency, and appropriate reporting and publishing of registers in line with those policies.
Supporting the preparation of the Trust’s Annual Report.
Responsibility for collating and acting on Fit and Proper Persons checks for Non-Executive Directors (annually and on appointment).
Preparing reports to the Board on Governor activities.
Preparing communications to Governors on key strategic issues of importance to the Trust.
Undertaking project work for the Trust Secretary/Director of Corporate Governance/Deputy Director of Corporate Governance where required.
Contributing to and maintaining the Corporate Affairs business calendar and workplan.

The Trust Secretary, Director of Corporate Affairs, Deputy Director of Corporate Affairs, Corporate Governance Officer/Membership Officer, Chief of Staff, Chief Executive and Chair’s Office, Executive Leadership Team support staff, Communications department, Non- Executive Directors, including the Chair, the Board and Board Committee support staff.
External:
Council of Governors, including Lead / Deputy Lead Governors and Chairs of Working Groups, and all external stakeholders, including members of the public, other Trusts, service users, government representatives and NHS England.
Key Responsibilities:
Supporting delivery of the Council of Governors’, Board’s and Board Committees’ statutory responsibilities and strategic ambitions.
Commissioning Board papers in line with the agreed agenda and ensuring these are received on time. Ensuring the timely distribution of Board Papers ahead of Board Meetings.
Providing administrative and tactical support to the Council of Governors, including preparation of forward work plans and reports, agenda setting, minute-taking and following up on actions.
Effective working with the Director and Deputy Director of Corporate Affairs, and Non-Executive Directors to deliver high-quality corporate governance and an effective support.
Where the Non-Executive Directors must attend meetings as part of the Board, arranging and managing those meetings. This does not include diary management of all other individual NED meetings.
Developing and maintaining the directorate’s information systems, creating a repository of auditable information and data relating to information as it relates to the corporate governance function (including, but not limited to, the Trust Constitution, databases, legal advice, decision-making logs, and meeting papers).
Organising and attending service visits for NEDs and Governors, ensuring even coverage across different directorates and types of service; preparing briefings and producing reports on the visits.
Supporting the Trust Corporate Affairs team to implement best practice in good governance across Board Committees.
Maintaining oversight of non-clinical policies, proactively managing reviews and updates.
Assisting the development, and leading the implementation of, best practice in governance processes from floor-to-Board, improving and professionalising the management of information exchange through meetings and written reports.
A role in developing, implementing and reviewing corporate governance policies and procedures, ensuring regulatory and statutory compliance across the Trust, and managing the day-to-day operation of those policies in practice.
Management of the Trustwide declarations of interest procedures, reporting on compliance and ensuring transparency, and appropriate reporting and publishing of registers in line with those policies.
Supporting the preparation of the Trust’s Annual Report.
Secretariat support to the Governors’ Nominations Committee (responsible for the appointment of Non-Executive Directors) and providing support to NED onboarding.
